职位介绍: What You'll Do -M&A & Industrial Strategic Transactions -Lead M&A and industrial-side strategic transactions and projects end-to-end, including scope and structure defining, negotiation, and execution. -Work seamlessly with external counsel, internal business functions, and Group legal team as needed. Board Operations & Corporate Governance -Run the China board calendar and projects, including preparing board materials and minutes in English, coordinating meetings, liaising with directors and supervisors, and supporting management in meeting preparation. -Ensure board resolutions are actioned and properly documented. -Own corporate governance and regulatory compliance for China entities, including driving Delegation of Authorities (DoA), group policy adherence, regulatory filings, and supporting global board matters. -Dispute Resolution & Regulatory Matters -Manage significant disputes when they arise, including handling regulatory inquiries and investigations. -Legal Playbook & Standard Setting -Build playbooks for the legal team, train business colleagues, draft policies and guidelines, and turn one-off advice into repeatable, standardized processes. What You'll Bring -Professional Experience: 10–15 years PQE, with significant time split between a top-tier law firm and an in-house role at a multinational company (MNC). -Background covering industrial operations is required. -Hands-on Deal & Governance Track Record: -Proven track record of running an M&A deal yourself (end-to-end leadership, not just diligence checklist tasks). -Direct experience with board secretary duties (preparing board materials/minutes and sitting in board meetings). -Strong track record in complex stakeholder management. Education & Bar Qualification: -PRC Bar qualification required. -Master's degree in law from a reputable university in China and/or abroad (overseas education preferred). -Language Skills: Fluent English (written and spoken) is essential — required for drafting board materials/minutes in English and leading M&A projects with global team colleagues.
